What the Master HOA Is Responsible For

Straight from the Association's recorded By-Laws

Who Carries Out These Responsibilities

Per Article VI (Duties of Directors), the Association does not act on its own — it acts through its elected, volunteer Board of Directors, who "perform all of the obligations of the Association." The Bylaws describe those obligations, in the Board's own words, as including — but not limited to — the following.

1. Maintaining the Property (Article VI)

  • Maintaining, repairing, and replacing any property the Association owns or has assumed the obligation to maintain.
  • Procuring insurance on that property.
  • Servicing the property directly, or hiring employees or contractors to service it.

Note: the Bylaws describe this duty in general terms — "property it owns or has assumed the obligation to maintain." The specific common areas covered (roadways, drainage, clubhouse, and similar shared facilities) are defined in the Association's Declaration of Covenants and Restrictions, also posted under Documents.

2. Collecting Assessments & Managing Association Funds (Article VI, VII & VIII)

  • Collecting and enforcing the collection of assessments needed to fund the Association.
  • Managing the Association's funds, and borrowing money or incurring debt for Association purposes when needed.
  • Preparing a proposed annual budget covering the cost of maintaining, repairing, replacing, insuring, and servicing Association property; taxes and utility charges on that property; staffing; and a contingency reserve for future maintenance, repair, and replacement (Article VIII, §8.1).
  • Furnishing a copy of the budget to every member at least 30 days before the year it applies to (Article VIII, §8.1(e)).
  • Where an assessment goes unpaid, the Association may file a Claim of Lien against the Unit and pursue collection, including legal action against the delinquent Owner (Article VIII, §8.2).

3. Recordkeeping & Reporting to Members (Article VI & VII)

  • Keeping records of all Association affairs and presenting a statement of them to the members at the Annual Meeting.
  • Operating on a calendar-year fiscal year using the cash basis method of accounting, with all Association income used to pay expenses and any excess held in reserve for future expenses (Article VII, §7.1).
  • Having an uncertified annual audit of the Association's accounts prepared by an accountant, auditor, or CPA, and furnished to every member no later than February 1 following the year it covers (Article VII, §7.3).
  • Requiring that withdrawals from Association bank and savings accounts be signed by at least two officers (Article VII, §7.2).

4. Enforcing the Governing Documents (Article VI)

  • Enforcing the By-Laws, the Articles of Incorporation, and the Declaration.
  • Adopting and enforcing Rules and Regulations the Board deems necessary — see our Rules & Regulations page for the Association's current rules.

5. Who Handles What on the Board (Article V)

  • The President is the Association's chief executive officer and presides over Board and member meetings (§5.2).
  • The Treasurer has custody of Association property — including funds, securities, and evidences of indebtedness — keeps the assessment rolls and member accounts, and keeps the Association's books in accordance with good accounting practices (§5.5).
  • The Secretary sends meeting notices, keeps the minutes and Association records (other than the Treasurer's), and has custody of the Association seal (§5.4).
  • The Vice-President steps in for the President when needed and assists as directed (§5.3).

6. When Board Elections Happen (Article III & IV)

  • Directors are elected each year at the Association's Annual Meeting, held at 7:30 p.m. on the first Wednesday in October (moved to the next non-holiday day if that Wednesday falls on a legal holiday) (Article III, §3.4).
  • At that same meeting, officers give their reports, the budget for the following year is adopted, and next year's assessments are set (Article III, §3.4).
  • Election is decided by a plurality of the votes cast by the Voting Members present at the meeting (Article IV, §4.3(a)).
  • A vacancy that opens between elections (death, resignation, incapacity, or removal) is filled by the remaining Directors, who appoint someone to serve only until the next Annual Meeting, when members elect a successor (Article IV, §4.3(c)).
  • A Director can also be removed mid-term at a members' meeting by an affirmative vote of a majority of the Voting Members, after written notice and a chance to be heard (Article IV, §4.5).

See the Calendar page for this year's confirmed Annual Meeting date once the Board sets it.
